  1. INTRODUCTION AND COMPANY IDENTITY

Welcome to AZIT Solutions LLC. This website and its associated sub-domains, brands, and service platforms (collectively, the “Platform” or “Services”) are fully owned, operated, and managed by AZIT Solutions LLC, a limited liability company formally registered under the laws of the State of Wyoming, USA (“Company,” “we,” “our,” or “us”).

By accessing our website, purchasing our IT consulting services, or participating in our market research programs, you (“User,” “Client,” or “Tester”) explicitly agree to be bound by these Terms and Conditions. If you do not agree to these terms, you are strictly prohibited from using our Services.

  1. AGE RESTRICTION

By using this Platform, you represent and warrant that you are at least eighteen (18) years of age or the legal age of majority in your jurisdiction. If you are under 18, you are strictly prohibited from using our Services.

  1. NATURE OF SERVICES

AZIT Solutions LLC provides two primary categories of services:

  • Part A: IT Consulting & Digital Marketing Solutions: Providing software development, system architecture, and digital marketing services to B2B clients.
  • Part B: Market Research & Consumer Insights: Facilitating product testing campaigns where independent consumers test products to generate market insights (B2C).

— PART A: IT CONSULTING & MARKETING SOLUTIONS (FOR CLIENTS) —

  1. SERVICE AGREEMENTS AND INTELLECTUAL PROPERTY

For B2B clients, the specific scope of work, timelines, and fees will be outlined in a separate Statement of Work (SOW). In the event of a conflict, the SOW shall prevail. Clients will be invoiced according to agreed milestones. Upon full and final payment, intellectual property rights of custom deliverables transfer to the Client. The Company retains all rights to pre-existing tools and frameworks.

— PART B: MARKET RESEARCH & PRODUCT TESTING (FOR TESTERS) —

  1. INDEPENDENT CONTRACTOR STATUS

By joining our testing programs, you explicitly acknowledge that your relationship with AZIT Solutions LLC is strictly that of an Independent Contractor. You are not an employee, agent, partner, or joint venturer. You are not entitled to employment benefits or insurance.

6. ANTI-MANIPULATION & FTC/UCPD COMPLIANCE POLICY
We strictly prohibit review manipulation, fake ratings, and “brushing” scams.
• Honest Feedback Only: Testers are compensated strictly for their time and survey data. Compensation is never contingent upon leaving a positive review on third-party platforms.
• Authentic Purchases: Testers must purchase products legitimately and provide valid proof of purchase for internal verification.
• Mandatory Material Disclosure: AZIT Solutions LLC does not mandate public reviews. However, if you voluntarily post a review, social media update, or public endorsement regarding a tested product, you are strictly required by the US FTC and EU UCPD to disclose your material connection (e.g., using “#Sponsored” or “#Ad”). Failure to make these disclosures transfers all legal and financial liability entirely to you.
• Unauthorized Third-Party Recruiters (Rogue Agents): AZIT Solutions LLC may engage independent affiliates or external agencies to source Testers. You explicitly agree that these entities operate as entirely independent third parties. If any third-party recruiter or sub-agency instructs or pressures you to leave a positive review or a 5-star rating, you acknowledge that such instructions are completely unauthorized, strictly prohibited, and do not represent the policies of AZIT Solutions LLC. Your participation is governed solely by these Terms, which absolutely mandate honest, unbiased feedback. We explicitly disclaim all liability for any unauthorized instructions made by independent recruiters. If a conflict arises between what a third-party recruiter told you and these Terms, these Terms shall absolutely prevail.
• Content Ownership: If you voluntarily post content on third-party sites, you retain full ownership. We claim no intellectual property rights over external reviews.

  1. COMPENSATION, PAYOUTS, AND CONDITIONAL FUNDING
  • Payout Methods: Approved payouts are issued via licensed third-party providers (e.g., Tremendous) as Virtual Prepaid Cards or transfers.
  • Conditional Payouts (Pay-When-Paid): Your financial incentive is strictly contingent upon AZIT Solutions LLC receiving the corresponding funding from the B2B brand client. If a B2B client defaults, goes bankrupt, or if a third-party platform suspends the client’s campaign, we reserve the right to cancel all associated pending Tester payouts without liability.
  • AML/KYC Compliance: We and our Payout Partners reserve the right to request Know Your Customer (KYC) documentation (e.g., government ID) prior to releasing funds. Refusal results in payout forfeiture.

— GENERAL PROVISIONS & ABSOLUTE LEGAL PROTECTIONS —

  1. ASSUMPTION OF RISK AND THIRD-PARTY PLATFORM DISCLAIMER

You expressly acknowledge that your participation is at your own risk. We do not control, and are not affiliated with, third-party marketplaces or search engines (e.g., Amazon, Google, Trustpilot).

AZIT SOLUTIONS LLC SHALL IN NO EVENT BE HELD LIABLE FOR ANY ACCOUNT SUSPENSIONS, TERMINATIONS, BANS, LOSS OF DIGITAL ASSETS, OR BUSINESS DISRUPTIONS IMPOSED BY ANY THIRD-PARTY PLATFORM AS A RESULT OF YOUR PARTICIPATION.

  1. PRODUCT LIABILITY AND PHYSICAL HARM WAIVER

AZIT Solutions LLC does not manufacture or control the physical products you test. YOU EXPRESSLY WAIVE ANY RIGHT TO SUE US FOR ANY PERSONAL INJURY, ALLERGIC REACTIONS, OR PROPERTY DAMAGE ARISING FROM THE PRODUCTS TESTED. The sole liability lies with the manufacturer or third-party seller.

  1. ABSOLUTE LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY WYOMING LAW, IN NO EVENT SHALL AZIT SOLUTIONS LLC BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OUR PLATFORM. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS SHALL BE STRICTLY LIMITED TO THE AMOUNT OF THE LAST FINANCIAL INCENTIVE ISSUED TO YOU BY US, OR FIFTY US DOLLARS ($50.00), WHICHEVER IS LESS.

  1. STRICT EXCLUSION OF PERSONAL LIABILITY (NON-RECOURSE)

You explicitly agree that your relationship and any potential legal claims are strictly with AZIT Solutions LLC as a corporate entity. You permanently waive any right to “pierce the corporate veil” to sue any founder, owner, director, or employee personally.

  1. INDEMNIFICATION

You agree to fully indemnify and hold harmless AZIT Solutions LLC against any claims, lawsuits, damages, or fines brought by any third party (including Amazon, Google, or regulatory bodies) arising out of: (a) your violation of these Terms; (b) your violation of third-party Terms of Service; (c) your failure to disclose material connections (FTC/UCPD); or (d) fraudulent acts.

  1. MANDATORY ARBITRATION AND CLASS ACTION WAIVER

Any dispute arising out of these Terms shall be settled by binding arbitration administered in the State of Wyoming, USA. CLASS ACTION WAIVER: YOU EXPRESSLY WAIVE THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION LAWSUIT OR COLLECTIVE ACTION AGAINST AZIT SOLUTIONS LLC.

  1. STRICT NON-DISPARAGEMENT AND LIQUIDATED DAMAGES

You agree not to publish any defamatory, malicious, or disparaging remarks concerning AZIT Solutions LLC or its clients on any public forum. Liquidated Damages: You acknowledge that a breach of this clause or the Confidentiality clause causes irreparable harm. For each verified breach, you shall be liable to pay liquidated damages of Five Thousand US Dollars ($5,000).

  1. CONFIDENTIALITY & ASSIGNMENT OF FEEDBACK

You agree to maintain absolute confidentiality regarding testing campaigns, client identities, and payout mechanisms. Any feedback or survey responses you provide become the sole and exclusive property of AZIT Solutions LLC, and you irrevocably assign all intellectual property rights in such feedback to us.

  1. ANTI-SYNDICATE, AI BAN, AND RIGHT TO WITHHOLD FUNDS

The use of automated scripts, bots, artificial intelligence (e.g., ChatGPT), or coordinated syndicates to manipulate surveys or exploit the Platform is strictly forbidden. We reserve the absolute right to freeze your account instantly, seize all pending funds, and report to law enforcement if fraud, AI use, or syndicate activity is suspected. Failure to provide requested audit materials (e.g., receipts) within 48 hours will result in permanent forfeiture of pending payouts.

  1. UNJUST ENRICHMENT AND CLAWBACK RIGHTS

In the event of a software bug or system error resulting in excess payouts to you, you hold such funds in constructive trust. We reserve the right to reverse or claw back erroneous transactions. Failure to return excess funds constitutes civil theft.

  1. EU CONSUMER RIGHTS OVERRIDE AND SEVERABILITY

Our services are strictly commercial/freelance. If an EU court determines you are a “Consumer” and local mandatory rights supersede our Wyoming jurisdiction/arbitration clauses, such determination shall only invalidate the conflicting clauses. All other provisions (including Limitation of Liability) shall remain in full force.

  1. CONTRACTUAL STATUTE OF LIMITATIONS

Regardless of any statute to the contrary, any claim arising out of these Terms must be filed within ONE (1) YEAR after the claim arose, or it shall be permanently barred.

  1. BINDING EFFECT OF MODIFICATIONS

We reserve the right to modify these Terms at any time without prior notice. Your continued use of the Platform constitutes explicit acceptance of the updated Terms.

  1. TAX INDEMNIFICATION, FATCA, AND DAC7 COMPLIANCE

You are solely responsible for your own tax reporting. If legally mandated, we reserve the right to share your earnings and Tax ID with the US IRS (FATCA) or European Tax Authorities (DAC7). Non-US residents certify they perform services entirely outside the US and agree to provide a Form W-8BEN upon request.

  1. OFAC AND GLOBAL SANCTIONS COMPLIANCE

You warrant that you are not located in, or a resident of, any country subjected to US embargoes or UN sanctions, nor listed on any US Government prohibited party lists. Using VPNs to bypass this will result in forfeiture of funds and reporting to authorities.

  1. FINANCIAL INSOLVENCY AND BLACK SWAN FORCE MAJEURE

AZIT Solutions LLC is not a bank or an E-Money Institution (PSD2 Exemption). We use third parties to hold funds. We bear zero liability for payout failures caused by third-party bank insolvencies, currency collapses, or “Black Swan” technological events (e.g., total data vaporization, cyber warfare, global outages).

  1. GOVERNING LAW

These Terms shall be governed by the laws of the State of Wyoming, USA. The English version of these Terms is the definitive and legally binding document.
